Talent Stream Club (“Talent Stream”) is a platform, service, and operating brand owned and operated by Online Filarmonica LLC, a Washington State Limited Liability Company.

Throughout these Terms and Conditions, references to “Talent Stream”, “Company”, “we”, “our”, or “us” shall mean Online Filarmonica LLC and its operated platforms, products, services, software, applications, and technologies.

These Terms and Conditions govern access to and use of all Talent Stream products and services, including but not limited to:

By accessing or using any Talent Stream service, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions.

2. ACCEPTANCE OF TERMS

Your access to and use of the Platform constitutes your agreement to these Terms.

If you do not agree with these Terms, you must immediately discontinue use of the Platform.

The Company reserves the right to modify these Terms at any time.

The Company reserves the right to modify, suspend, replace, or discontinue any membership category at its sole discretion.

Membership fees, subscriptions, and related services are governed by separate policies including the Refund Policy and applicable service descriptions.

6. AI SERVICES

Talent Stream may provide artificial intelligence products and services, including but not limited to:

  • Livia AI
  • AI Landing Builder
  • AI Video Generator
  • AI Social Publisher
  • AI Invitation System
  • AI Automation Services
  • Future AI-powered products and services

AI-generated content is provided for informational, educational, business, and productivity purposes only.

Users acknowledge that artificial intelligence systems may generate inaccurate, incomplete, outdated, or unexpected information.

Talent Stream does not guarantee the accuracy, reliability, legality, suitability, or completeness of AI-generated content.

Users are solely responsible for evaluating, verifying, and using any AI-generated content.

Talent Stream does not use user conversations, prompts, uploaded content, or AI interactions to train artificial intelligence models.

Additional terms governing AI-powered services may be provided in separate AI Services Disclaimer documents.

7. AFFILIATE PROGRAM

Talent Stream may offer affiliate, referral, partner, ambassador, or compensation programs.

Participation in such programs is voluntary and subject to:

  • these Terms and Conditions;
  • the Affiliate Agreement;
  • the Compensation Plan;
  • the Earnings Disclaimer;
  • other applicable Company policies.

The Company makes no guarantee regarding:

  • commissions;
  • bonuses;
  • earnings;
  • income levels;
  • financial success.

Any income examples, illustrations, calculations, or hypothetical scenarios are presented solely for educational and explanatory purposes.

Actual results vary and depend upon numerous factors, including individual effort, leadership, skill, market conditions, customer acquisition, retention, and compliance with Company policies.

The Company reserves the right to modify, suspend, replace, or terminate any compensation structure, affiliate program, reward program, pool, bonus, or incentive at any time.

8. USER CONDUCT

Users agree to use the Platform responsibly and lawfully.

Users shall not:

  • violate applicable laws;
  • engage in fraud or deception;
  • make false income claims;
  • misrepresent Company products or services;
  • distribute spam;
  • upload malicious software;
  • interfere with platform operations;
  • infringe intellectual property rights;

Talent Stream reserves the right to investigate suspected violations and take appropriate action.

9. INTELLECTUAL PROPERTY

All intellectual property rights associated with the Platform remain the property of Online Filarmonica LLC or its licensors.

Protected materials may include:

  • source code;

  • documents;
  • platform designs;
  • AI technologies;
  • databases;
  • marketing materials.

Talent Stream Club, Livia AI, Company logos, and related branding elements may not be copied, modified, distributed, reproduced, or used without prior written authorization.

Nothing contained within the Platform grants users ownership rights to Company intellectual property.

10. USER CONTENT

Users may submit, upload, create, publish, or distribute content through the Platform.

Users retain ownership of their original content.

By submitting content, users grant Talent Stream a limited, non-exclusive, worldwide, royalty-free license to:

  • store content;
  • process content;
  • display content;
  • distribute content where necessary;
  • provide requested services;
  • maintain platform functionality.

This license exists solely for the operation of Talent Stream services.

Talent Stream does not claim ownership of user content.

Users represent and warrant that they possess all rights necessary to submit the content and that such content does not violate any law or third-party rights.

Talent Stream reserves the right to remove content that violates Company policies, applicable laws, or the rights of others.

11. PAYMENTS

Certain Talent Stream services may require payment of fees, subscriptions, memberships, upgrades, or other charges.

By purchasing any paid service, the user authorizes Talent Stream and its authorized payment processors to charge the applicable fees.

Users agree to provide accurate and current billing information.

Talent Stream reserves the right to:

  • modify pricing;
  • introduce new fees;
  • discontinue pricing plans;

  • change subscription structures.

Any pricing changes shall become effective upon publication or upon notice provided to users.

Failure to pay required fees may result in suspension or termination of access to paid services.

13. EARNINGS DISCLAIMER REFERENCE

Talent Stream makes no guarantees regarding earnings, commissions, bonuses, profits, or financial success.

Any examples, illustrations, projections, testimonials, case studies, or income scenarios presented by the Company are provided solely for explanatory and educational purposes.

Actual results vary significantly between individuals.

Users acknowledge that participation in any affiliate, referral, partner, or compensation program involves risk and uncertainty.

15. SUSPENSION AND TERMINATION

  • fraudulent activity;
  • deceptive marketing;
  • false income claims;
  • creation of multiple unauthorized accounts;
  • spam activity;
  • abuse of AI services;
  • infringement of intellectual property rights;
  • unlawful conduct;
  • actions harmful to the Company, its users, or affiliates.

The Company may investigate suspected violations and take appropriate action, including account suspension, commission withholding, content removal, or permanent account termination.

Termination of an account does not automatically eliminate obligations owed by either party that arose prior to termination.

Sections intended by their nature to survive termination shall remain in effect following termination.

16. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Talent Stream, Online Filarmonica LLC, its officers, directors, managers, employees, contractors, affiliates, licensors, service providers, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to:

  • use of the Platform;
  • inability to use the Platform;
  • AI-generated content;
  • affiliate program participation;
  • loss of business opportunities;
  • loss of profits;
  • loss of data;
  • service interruptions;
  • unauthorized access.

The Company’s total aggregate liability arising out of or related to the Platform, products, services, or these Terms shall not exceed the total amount paid by the user to Talent Stream during the twelve (12) months immediately preceding the event giving rise to the claim.

17. INDEMNIFICATION

Users agree to defend, indemnify, and hold harmless Online Filarmonica LLC, Talent Stream Club, its affiliates, officers, employees, contractors, licensors, and service providers from and against any claims, damages, liabilities, costs, losses, expenses, and reasonable attorney fees arising from:

  • violation of these Terms;
  • violation of applicable laws;
  • infringement of third-party rights;
  • misuse of the Platform;
  • user content;
  • affiliate marketing activities;
  • unauthorized use of Company intellectual property.

18. DISPUTE RESOLUTION

The Company and the user agree to attempt in good faith to resolve any dispute, controversy, or claim arising out of or relating to these Terms through informal negotiations before initiating formal legal proceedings.

Users agree to contact the Company and provide reasonable opportunity to resolve disputes prior to filing any legal action.

19. ARBITRATION

To the extent permitted by applicable law, disputes that cannot be resolved through informal negotiations shall be resolved by binding arbitration.

Arbitration shall be conducted in the State of Washington, United States.

Each party shall bear its own legal costs unless otherwise determined by the arbitrator or required by applicable law.

Nothing in this section prevents either party from seeking temporary injunctive relief, intellectual property protection, or other remedies specifically permitted by law.

20. GOVERNING LAW

These Terms and all disputes arising out of or relating to the Platform shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to conflict-of-law principles.

21. CHANGES TO TERMS

Talent Stream reserves the right to modify, amend, update, replace, or revise these Terms at any time.

Updated versions shall become effective upon publication unless otherwise specified.

Continued use of the Platform following publication of revised Terms constitutes acceptance of the revised Terms.

Users are encouraged to review these Terms periodically.


ENTIRE AGREEMENT
These Terms and Conditions, together with the Privacy Policy, Cookie Policy, Affiliate Agreement, Compensation Plan Disclaimer, Earnings Disclaimer, Income Disclosure Statement, Refund Policy, AI Services Disclaimer, and any additional Company policies incorporated by reference, constitute the entire agreement between the user and Online Filarmonica LLC regarding use of the Platform.

If you are a copyright owner, or authorized to act on behalf of a copyright owner, and believe that content available through the Platform infringes your copyright, you may submit a written DMCA Notice to Talent Stream’s designated copyright contact.

4. REQUIRED INFORMATION FOR A DMCA NOTICE

To submit a valid DMCA Notice, please provide the following information:

  • identification of the allegedly infringing content sufficient to locate the material;
  • the URL, page location, account, or other information allowing identification of the material;
  • your full legal name;
  • mailing address;
  • telephone number;
  • email address;
  • a statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or applicable law;
  • a statement that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner;

Talent Stream may request additional information where necessary to evaluate a claim.

5. COUNTER-NOTIFICATION PROCEDURE

If you believe that content removed or disabled by Talent Stream was removed as a result of mistake, misidentification, or error, you may submit a Counter-Notification.

A Counter-Notification should include:

  • identification of the removed content;
  • identification of the location where the content appeared before removal;
  • your full legal name;
  • mailing address;
  • telephone number;
  • email address;
  • a statement under penalty of perjury that you have a good faith belief the content was removed due to mistake or misidentification;
  • a statement consenting to the jurisdiction of the appropriate courts as required under applicable law;
  • your physical or electronic signature.

Counter-Notifications should be submitted to:

Upon receipt of a valid Counter-Notification, Talent Stream may forward the Counter-Notification to the original complainant and process the request in accordance with applicable law.

6. REPEAT INFRINGERS POLICY

Talent Stream maintains a policy for addressing repeat copyright infringement.

Where appropriate, the Company may:

  • remove infringing content;
  • suspend accounts;
  • restrict platform access;
  • terminate user accounts;
  • permanently prohibit future registration.

Talent Stream reserves the right to determine, in its reasonable discretion, whether a user qualifies as a repeat infringer.

Repeated violations of copyright laws, intellectual property rights, or this Policy may result in permanent removal from the Platform.

7. FALSE CLAIMS WARNING

Submitting knowingly false or misleading copyright claims may result in legal liability.

Any person who knowingly misrepresents:

  • that material is infringing;
  • that material was removed in error;
  • ownership of copyrighted content;
  • authority to act on behalf of a copyright owner;

may be subject to liability under applicable law.

Users acknowledge that AI-generated content may raise unique copyright and intellectual property considerations.

6. ENFORCEMENT ACTIONS

If Talent Stream determines that a violation has occurred, the Company may take one or more actions, including:

  • issuing a warning;
  • removing content;
  • restricting platform features;
  • suspending account privileges;
  • withholding commissions pending investigation;
  • reversing improperly obtained benefits;
  • terminating affiliate participation;
  • permanently disabling accounts;

The severity of enforcement actions may depend upon the nature, frequency, and seriousness of the violation.

7. FALSE REPORTS

Talent Stream encourages good-faith reporting. Knowingly submitting false, misleading, malicious, or fraudulent reports is prohibited.

Users who repeatedly submit abusive or knowingly false reports may be subject to:

  • suspension of reporting privileges;
  • account restrictions;
  • account termination.

8. AFFILIATE PROGRAM AND AI SERVICES ABUSE

  • artificial traffic generation;

Violations involving Affiliate Programs or AI Services may result in immediate suspension pending investigation.

9. CONFIDENTIALITY OF INVESTIGATIONS

  • guarantee earnings or financial success;
  • misrepresent Company products or services;
  • manipulate referral systems;
  • create unauthorized multiple accounts;

1. INTRODUCTION

This Affiliate Agreement (“Agreement”) governs participation in the Talent Stream Affiliate Program. The Affiliate Program is operated by Online Filarmonica LLC under the Talent Stream Club brand.

By registering as an Affiliate, participating in the Compensation Plan, referring users, receiving commissions, or otherwise participating in the Affiliate Program, you agree to be bound by:

  • this Affiliate Agreement;
  • Terms & Conditions;
  • Privacy Policy;
  • Acceptable Use Policy;
  • Earnings Disclaimer;
  • Income Disclosure Statement;
  • Compensation Plan Disclaimer;
  • all other applicable Company policies.

2. AFFILIATE ELIGIBILITY

To participate in the Affiliate Program, an individual must:

  • be at least eighteen (18) years old;
  • possess legal capacity to enter into contracts;
  • provide accurate registration information;
  • comply with applicable laws;
  • maintain an active account in good standing.

The Company reserves the right to approve, reject, suspend, or terminate Affiliate applications at its sole discretion where permitted by law.

Participation in the Affiliate Program is a privilege and not a guaranteed right.

3. ENROLLMENT AND ACCEPTANCE

Enrollment into the Affiliate Program becomes effective only after:

  • successful account registration;

Affiliates are solely responsible for:

5. AFFILIATE RESPONSIBILITIES

Affiliates agree to:

  • use approved marketing materials where required;
  • maintain accurate account information;
  • avoid misleading statements;
  • respect intellectual property rights;
  • comply with all applicable advertising laws.

Affiliates are responsible for their own marketing activities and communications.

6. MARKETING RULES

Affiliates may promote Talent Stream products and services only in a lawful, ethical, and professional manner.

Affiliates shall:

  • use truthful representations;
  • comply with advertising laws;
  • respect intellectual property rights;
  • avoid deceptive marketing practices;
  • comply with Company branding guidelines.

Affiliates may not:

  • misrepresent products or services;
  • impersonate Company representatives;
  • create unauthorized websites claiming official status;
  • use misleading advertisements;
  • engage in spam-based marketing;
  • purchase or use fraudulent traffic;
  • make unauthorized medical, legal, financial, or income claims.

The Company reserves the right to require modification or removal of marketing materials that violate Company policies.

7. INCOME CLAIMS RESTRICTIONS

Affiliates may not make statements that directly or indirectly guarantee:

  • income;
  • profits;
  • financial success;
  • specific commission levels;
  • business results.

Affiliates may not represent that participation in Talent Stream will result in guaranteed earnings, financial freedom, wealth, passive income, or lifestyle outcomes.

Any discussion of commissions, bonuses, earnings, or financial opportunities must remain consistent with:

  • the Earnings Disclaimer;
  • the Income Disclosure Statement;
  • official Company materials.

Hypothetical examples, illustrations, and educational scenarios may only be presented as examples and may not be represented as typical or guaranteed results.

8. COMPENSATION AND COMMISSIONS

Affiliate commissions, bonuses, incentives, pools, and rewards are governed by the official Compensation Plan.

The Compensation Plan may be modified, amended, suspended, replaced, or discontinued by the Company at any time.

Commissions are earned only when all applicable conditions established by the Company have been satisfied.

The Company reserves the right to:

  • verify eligibility for commissions;
  • investigate suspicious activity;
  • delay payments pending review;
  • withhold commissions obtained improperly;
  • reverse commissions generated through fraud, abuse, error, or policy violations.

Nothing in this Agreement guarantees the availability of commissions, bonuses, rewards, incentives, or future compensation opportunities.

9. COMPLIANCE REQUIREMENTS

Affiliates agree to comply with:

  • this Agreement;
  • Terms & Conditions;
  • Acceptable Use Policy;
  • Privacy Policy;
  • Compensation Plan Disclaimer;
  • Earnings Disclaimer;
  • Income Disclosure Statement;
  • applicable laws and regulations.

Affiliates are responsible for ensuring that their activities comply with consumer protection, advertising, privacy, anti-spam, intellectual property, and other applicable laws.

Failure to comply with Company policies or applicable law may result in disciplinary action, suspension, commission forfeiture, or termination of Affiliate status.

10. SUSPENSION AND TERMINATION

Talent Stream reserves the right to suspend, restrict, or terminate Affiliate participation at any time where permitted by applicable law.

Grounds for suspension or termination may include:

  • violation of this Agreement;
  • violation of Company policies;
  • false income claims;
  • deceptive marketing practices;
  • creation of unauthorized multiple accounts;
  • commission manipulation;
  • fraudulent activity;
  • spam-based promotion;
  • abuse of AI services;
  • unlawful conduct;
  • actions harmful to the Company, its affiliates, users, reputation, or business interests.

The Company may withhold commissions during investigations involving suspected violations.

Termination of Affiliate status may result in loss of future commissions, bonuses, incentives, pool participation, and other Affiliate benefits as permitted by applicable law.

11. NON-CIRCUMVENTION

Affiliates agree not to intentionally interfere with the Affiliate relationships established through the Talent Stream Platform.

Affiliates may not:

  • knowingly solicit affiliates from another organization for competing opportunities;
  • intentionally manipulate referral relationships;
  • attempt to bypass Company systems for compensation purposes;
  • interfere with commission tracking mechanisms;
  • engage in activities designed to improperly redirect Affiliate relationships.

Nothing in this section shall restrict lawful competition or lawful business activity where prohibited by applicable law.

12. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Online Filarmonica LLC, Talent Stream Club, its officers, managers, employees, contractors, affiliates, licensors, and service providers shall not be liable for:

  • indirect damages;
  • incidental damages;
  • consequential damages;
  • loss of profits;
  • loss of business opportunities;
  • loss of commissions;
  • loss of anticipated earnings;
  • reputational harm;
  • business interruption.

Participation in the Affiliate Program is voluntary and undertaken at the Affiliate’s own risk.

The Company’s aggregate liability arising out of or related to the Affiliate Program shall not exceed the amount of commissions paid to the Affiliate during the twelve (12) months immediately preceding the event giving rise to the claim.

13. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to conflict-of-law principles.

Any dispute arising from or relating to this Agreement shall be resolved in accordance with the dispute resolution provisions contained within the Company’s Terms and Conditions.

6. FAILURE TO COMPLETE VERIFICATION

Failure to complete requested verification procedures may result in:

  • account suspension or termination.

1. INTRODUCTION

This Data Processing Agreement (“DPA”) supplements the Privacy Policy, Terms & Conditions, and other applicable Company policies.

This DPA governs the processing of personal information by Talent Stream Club, operated by Online Filarmonica LLC, in connection with the services provided through the Platform.

This Agreement is intended to address applicable data protection requirements, including GDPR and similar privacy regulations where applicable.

2. DEFINITIONS

For purposes of this DPA:

“Personal Data” means information relating to an identified or identifiable natural person.

“Processing” means any operation performed on Personal Data, including collection, storage, use, disclosure, transfer, deletion, or destruction.

In the event of a conflict between this Addendum and the Privacy Policy regarding California privacy rights, this Addendum shall govern to the extent required by applicable law. All other provisions of the Privacy Policy remain in full force and effect.
